Officer of Lowell Makes

Lowell Makes has 3 officer positions designated by its bylaws. They are President, Treasurer, and Secretary. They each have their own duties and and are the only 3 positions that must be filled.

Duties

The Duties of the Secretary as dictated by the byaws:

The Secretary shall convene regularly scheduled Board meetings in the President’s absence, shall preside at each meeting.

The Secretary shall be responsible for keeping records of Board actions, including overseeing the taking of minutes at all board meetings, sending out meeting announcements, distributing copies of minutes and the agenda to each Board member, and assuring that corporate records are maintained. If the secretary is absent from any meeting of the Board, a temporary clerk chosen at the meeting shall exercise the duties of the secretary at the meeting.

Term

The Secretary is elected annually and may serve up to 3 consecutive terms.
